Terms of Service

1. What we provide

Zemi Research publishes audited medical-research dossiers. Each dossier is an umbrella product comprising a Research Report, an Evidence Workbook, and an Independent Audit. Dossiers are decision-support and diligence products for qualified professionals.

2. Not professional, medical, or investment advice

The dossiers are pre-packaged digital information products — research reports and an accompanying data spreadsheet, sold as downloads. They present evidence-cited research and forward-looking analysis for general informational use by qualified professionals. Zemi Research does not provide consulting, advisory, or any other human, professional, or regulated service, and your purchase creates no professional-client relationship. The dossiers are not medical advice, diagnosis, or treatment, and not investment, legal, or tax advice. Evidence is labelled Established / Inferred / Hypothesis; a regulatory designation or accelerated approval is never equated with clinical benefit, and a surrogate is never equated with an outcome. You are responsible for your own decisions and for obtaining independent professional advice. We make no warranty that any hypothesis, prediction, or forward-looking statement will prove correct.

3. Orders and payment

Pricing is shown on the Site and is one-time, with a perpetual license and no subscription. Until online checkout is available, purchases are arranged by contacting us at support@zemiresearch.com. When online checkout is enabled, payments are processed by our third-party payment processor (Stripe). Reyes Financial, LLC is the seller of record for the transaction and is responsible for billing and any applicable sales tax. We do not see or store full payment-card details. Prices are in U.S. dollars unless stated otherwise. We may correct pricing errors and update prices at any time before purchase.

4. License grant

Subject to payment and these Terms, we grant you a non-exclusive, non-transferable, perpetual license to use the purchased dossier as follows:

• Single license — use by one named individual within your organization.
• Team / Site license — use by one legal entity, by an unlimited number of that entity's internal users.
• Bundles and Collections — cover the dossiers specified in the offer, under the Single or Site scope purchased.

Internal use includes referencing and excerpting the dossier in your organization's internal analyses and decisions.

5. Restrictions

• You may not resell, redistribute, sublicense, publish, or publicly post the dossiers or substantial portions of them, or share them outside the licensed user or entity.
• You may not remove or alter any watermark, attribution, or notice.
• You may not use the dossiers to build a competing product or service, or for unlawful purposes.

6. Watermarking and traceability

Delivered dossiers are watermarked with the purchaser's identity and order reference. This makes any redistribution traceable to the licensee. Unauthorized sharing is a breach of these Terms and may result in license termination without refund and pursuit of available remedies.

7. Intellectual property

The Site and all dossiers, including their text, figures, workbooks, audits, structure, and methodology, are owned by Reyes Financial, LLC and protected by intellectual-property laws. Your purchase grants a license, not a transfer of ownership.

8. Refunds

Because dossiers are digital products delivered for immediate download, our Refund Policy applies and is incorporated into these Terms.

9. Disclaimers and limitation of liability

The Site and dossiers are provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by law. To the maximum extent permitted by law, Reyes Financial, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data; and our total liability arising out of or relating to the Site or a dossier will not exceed the amount you paid for the dossier giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Reyes Financial, LLC from claims arising out of your breach of these Terms or your misuse of the Site or dossiers.

11. Governing law

These Terms are governed by the laws of the Commonwealth of Puerto Rico, United States, without regard to conflict-of-laws rules. The courts located in San Juan, Puerto Rico will have exclusive jurisdiction over any dispute, and you consent to that jurisdiction and venue.

12. Changes

We may update these Terms from time to time. Continued use of the Site after changes take effect constitutes acceptance, indicated by the "Last updated" date above.
